Please read these Terms of Service ("Terms") carefully before using the AgentEx platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Definitions

• "Service" refers to the AgentEx platform, including all features, AI agent orchestration, chat interfaces, and integrations.
• "User" refers to any individual who registers for or accesses the Service.
• "Organization" refers to a workspace within the Service that can contain multiple users, agents, and resources.
• "AI Agents" refers to configured AI models and their behaviors within the platform.
• "Content" refers to text, prompts, messages, configurations, and other data created or uploaded by users.

2. Account Registration

To use the Service, you must create an account. You may register using an email and password or through a third-party authentication provider (e.g., Google OAuth). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit harmful, fraudulent, or malicious content
• Impersonate another person or entity
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Create agents or tools designed to cause harm or spread malware

4. AI Agents and Tools

The Service allows you to create, configure, and interact with AI agents. You acknowledge that:

• AI-generated content may contain inaccuracies and should be reviewed before use
• You are responsible for the actions and outputs of agents you create
• Tool execution (including web fetching, shell commands, and custom HTTP tools) may produce unintended results
• You should exercise caution when granting agents access to external systems or sensitive data

5. Third-Party AI Providers

By using AI agents through our Service, you acknowledge and agree that:

• Your data will be transmitted to third-party AI providers for processing
• These providers may retain your data in accordance with their own policies
• The quality, accuracy, and appropriateness of AI-generated responses depend on the underlying provider's models
• Availability of AI services is subject to the third-party provider's uptime and terms
• Usage limits, pricing, and availability of specific models are determined by the respective providers

6. Telegram Integration

The Service offers integration with Telegram messenger. When you use this feature:

• Messages sent and received through Telegram are processed by our gateway system
• These messages are also visible within the web-based chat interface
• You are responsible for complying with Telegram's Terms of Service
• Telegram's privacy policy applies to messages transmitted through their platform

7. Intellectual Property

The Service and its original content, features, and functionality are owned by AgentEx and are protected by applicable intellectual property laws. You retain ownership of Content you create, but grant us a license to use, store, and display it as necessary to provide the Service.

8. Organizations and Collaboration

Users can create and join organizations. Within an organization:

• Organization administrators have visibility and control over agents, tools, and chat rooms
• Resources created within an organization may be accessible to other members based on roles
• Leaving or being removed from an organization may result in loss of access to organization-scoped resources

9. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated responses will be accurate, complete, or reliable
• Third-party AI providers will be available or perform to your expectations
• Any defects in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Actions or outputs of AI agents, including inaccurate or harmful generated content
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party (including AI providers) on the Service

11. Indemnification

You agree to indemnify and hold harmless AgentEx and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AgentEx operates, without regard to its conflict of law provisions.
